Terms of Service

These terms govern your use of the Colloquia app (the “app” or the “service”). By downloading or using Colloquia, you agree to them. If you do not agree, do not use the app. This agreement is between you (“you”) and Colloquia (“Colloquia,” “we,” “us,” or “our”), the developer of the app. How we handle your data is described separately in our Privacy Policy.

Who can use Colloquia

Colloquia is intended for adults. You must be at least the age of majority where you live to use Colloquia, and the app is not designed for or directed to children. If you are a minor, do not use Colloquia.

Not a medical or mental-health service

Colloquia is not a substitute for therapy, counseling, coaching, medical care, mental-health treatment, diagnosis, or professional advice. The app does not provide clinical services, medical guidance, mental-health guidance, crisis support, or personalized professional recommendations.

Any prompts, reflections, summaries, or other content generated or displayed by Colloquia are intended only to support your own journaling process. You should not rely on Colloquia to make decisions about your health, safety, relationships, finances, legal matters, or other important life circumstances.

Using Colloquia does not create any doctor-patient, therapist-client, counselor-client, attorney-client, fiduciary, or other professional relationship between you and Colloquia.

Colloquia does not monitor your entries or any of your content in real time or otherwise, and it cannot detect, assess, or respond to emergencies, crises, or risk of harm. Colloquia will not contact emergency services or anyone else on your behalf. If you are experiencing a medical or mental-health emergency, are in crisis, or may be at risk of harming yourself or others, do not use Colloquia as a source of help. Contact emergency services (such as 911 in the United States, or 988 for the Suicide and Crisis Lifeline) or a qualified professional immediately.

Subscriptions, trial, and billing

  • Colloquia is a paid subscription (Plus or Pro), billed monthly through your Apple account.
  • New subscriptions may include a free trial. If you don't cancel before the trial ends, the subscription begins and you are charged.
  • Subscriptions renew automatically until cancelled. Manage or cancel your subscription in your Apple subscription settings — cancellation takes effect at the end of the current billing period. Deleting the app or your Colloquia account does not, by itself, cancel billing.
  • Prices are shown in the app in your local currency. Payment is charged to your Apple Account at confirmation of purchase. Refunds are handled by Apple under the App Store terms.

Your account and security

You are responsible for maintaining the security of your device, your account, and any passcode, credentials, or authentication used to access Colloquia — including Sign in with Apple, your device passcode, and any App Lock you enable. You are responsible for activity that occurs through your account or device, and you should notify us promptly if you believe your account or credentials have been compromised.

We take reasonable measures to protect the service and your data, but no product, system, or method of transmission or storage is ever completely secure, and we cannot guarantee absolute security.

Acceptable use

You may use Colloquia only for your own personal journaling and other lawful, personal, non-commercial purposes. You are responsible for your use of the service and for any content you create, store, or submit through Colloquia.

You agree not to misuse Colloquia or interfere with its normal operation. This means you must not attempt to disrupt, damage, overload, or impair the service; bypass or circumvent any security, authentication, access, rate-limiting, or usage restrictions; reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying technology of the service except where permitted by law; use automated systems to scrape, extract, or access the service without authorization; introduce malware, harmful code, or other destructive materials; or attempt to gain unauthorized access to Colloquia, related systems, accounts, or other users’ data.

You also agree not to use Colloquia for any unlawful, harmful, fraudulent, abusive, harassing, privacy-invasive, or otherwise unauthorized purpose.

Recording others and consent

Colloquia is designed for journaling your own thoughts and experiences. You are solely responsible for ensuring that you have obtained all consents and permissions required by applicable law before you record, capture, or submit any other person’s voice, likeness, statements, or personal information through the service. Recording, wiretapping, and privacy laws vary by location and may require the consent of everyone being recorded.

You must not use Colloquia to collect, record, store, disclose, or submit another person’s voice or personal information without a lawful basis and any required consent, and you are responsible for your compliance with all applicable recording, privacy, and data-protection laws.

Your content

Your journal entries, prompts, reflections, and other content you create or submit through Colloquia remain yours. You may export or delete your content at any time using the features provided in the service, subject to our Privacy Policy and applicable law.

You grant Colloquia a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, reproduce, display, and otherwise use your content solely as needed to operate, maintain, provide, secure, and improve the service, including generating entries from your spoken words, displaying your content back to you, syncing it across your devices, providing backups, and responding to support, legal, or security issues.

You represent that you have all rights necessary to submit your content to Colloquia and to grant the rights described above. You are solely responsible for the content you create, submit, store, or share through the service, including ensuring that your content does not violate any law, infringe any third-party rights, or contain unlawful, harmful, or unauthorized material.

When you delete content or your account, we will delete it as described in our Privacy Policy. However, deletion may not be immediate, and residual or cached copies may persist for a limited period in backups, system logs, records we retain for legal, security, tax, or accounting purposes, or within third-party systems, before they are overwritten or expire. Some information may also be retained where required or permitted by applicable law.

AI-generated content

Colloquia uses AI to help generate journal entries from your spoken words and other input you provide. AI-generated content may be inaccurate, incomplete, misleading, or may misinterpret what you said or intended. You are responsible for reviewing your entries and deciding whether they accurately reflect your thoughts, experiences, or records.

Colloquia is provided for personal journaling and reflection only. It is not a source of professional advice, including medical, mental health, legal, financial, tax, or other professional advice. You should not rely on Colloquia or any AI-generated entry as a substitute for advice from a qualified professional.

We do not use your content — including your audio, journal entries, memory, or AI-generated content — to train or improve AI or machine-learning models, and we do not permit the AI providers that process your content on our behalf to use it to train or improve their models. Your content is processed only to provide the service to you, as described in our Privacy Policy.

You may edit, revise, export, or delete your entries at any time using the features provided in the service.

Intellectual property

Apart from your content, Colloquia and everything that makes up the service — including the app, its software and source code, design, user interface, branding, name, logos, text, prompts, and other materials we provide — are owned by Colloquia or our licensors and are protected by intellectual-property and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the app for your own personal, non-commercial journaling, subject to these terms. We reserve all rights not expressly granted to you.

You retain ownership of your journal content. You grant us only the limited license described in “Your content” above, which we use solely to operate and provide the service to you.

Third-party services

Colloquia relies on third-party products and services to operate, and may add, change, or replace them over time. These may include Apple (for Sign in with Apple, distribution, and billing), cloud hosting and infrastructure providers, AI and speech-to-text providers, and, where applicable, analytics, payment, and similar service providers. Your use of the service may also be subject to those providers’ own terms and policies, and we are not responsible for their acts, omissions, products, or services. For details on which providers process your data and how, see our Privacy Policy.

Service availability and changes

We are continually working to improve Colloquia, and the service — including its features, functionality, and content — may change over time. To the maximum extent permitted by law, we may add, modify, limit, suspend, discontinue, or remove features or the service, in whole or in part, with or without notice.

The service may also be unavailable, interrupted, or degraded from time to time due to outages, maintenance, updates, reliance on third-party services, network problems, or other technical issues. We do not guarantee that the service will be uninterrupted, timely, secure, error-free, or available at any particular time.

Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, secure, or error-free, or that any AI-generated content will be accurate, complete, or reliable.

Limitation of liability

To the maximum extent permitted by law, Colloquia will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of data, loss of profits, loss of goodwill, business interruption, emotional distress, or other intangible losses arising out of or related to your access to or use of, or inability to access or use, Colloquia.

This limitation applies whether the claim is based on warranty, contract, tort, negligence, strict liability, statute, or any other legal theory, even if Colloquia has been advised of the possibility of such damages.

To the maximum extent permitted by law, Colloquia’s total liability for any claim arising out of or related to the service will be limited to the greater of the amount you paid to use Colloquia in the twelve months before the claim arose or $100.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you. In those cases, Colloquia’s liability will be limited to the greatest extent permitted by applicable law.

Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Colloquia and our affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: your misuse of the service; your violation of these terms; your recording, capture, or submission of any other person’s voice, likeness, or personal information without required consent or a lawful basis; any content you create, submit, or share through the service; unlawful, harmful, or illegal content; your violation of any law or of the privacy, intellectual-property, or other rights of any person or entity; or your infringement or misappropriation of any intellectual-property rights.

Termination

You may stop using Colloquia at any time. While your account is active, you may export and/or delete your data through the features provided in the service.

We may suspend, restrict, or terminate your access to Colloquia, including your account, at any time, for any reason or no reason, with or without notice, to the maximum extent permitted by law. This may include termination if we believe you have violated these terms, created risk for Colloquia or its users, or used the service in a way that may expose us, you, or others to legal, security, or operational risk.

After your account is terminated, you may lose access to your account and any data associated with it. We may retain or delete account information and user content in accordance with our Privacy Policy and applicable law.

Apple App Store terms

These additional terms apply because Colloquia is distributed through the Apple App Store:

  • This agreement is between you and Colloquia only, not with Apple. Colloquia — not Apple — is solely responsible for the app and its content.
  • Your license to use the app is a non-transferable license to use it on any Apple-branded products you own or control, as permitted by the App Store Terms of Service.
  • Apple has no obligation to furnish maintenance or support for the app.
  • To the maximum extent permitted by law, Apple has no warranty obligation for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no other warranty obligation.
  • Colloquia, not Apple, is responsible for addressing any claims relating to the app, including product-liability, legal or regulatory, and intellectual-property claims.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.

Governing law

These terms and any dispute arising out of or relating to Colloquia will be governed by the laws of the State of California and applicable United States federal law, without regard to conflict-of-laws principles.

If any provision of these terms is found to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Changes

We may update these terms from time to time. If we make changes, we may provide notice by updating the effective date, posting the revised terms in the app, or using another reasonable method.

Your continued use of Colloquia after the updated terms become effective means you accept the revised terms. If you do not agree to the updated terms, you must stop using the service.
